Many times the “how” something is being transferred is as important as to “what” is being transferred. We work with our clients to understand the business goals behind any transaction. We then look to determine the “what” that is being transferred to determine if that what can be transferred. We then work with the client advising them the “how” that best achieves the client’s business goals. This may consist of an exclusive or a non-exclusive license, a limited use license, an assignment, etc.
Frequently, the business persons and corporate counsel involved in a transaction are mainly concerned about things such as stock, inventory, and real estate. We have had many instances in which clients have contacted us after a transaction to determine what IP was transferred to them.
